ACCEPTANCE OF TERMS

Client's payment of any invoice, execution of a proposal, or use of services constitutes

acceptance of these Terms. These Terms apply to all services, including Monthly recurring services, One-time projects, and Consulting, audits, and advisory services.

SERVICES & SCOPE

Services are defined in written proposals, Statements of Work, service schedules, invoices, and written email confirmations. Any work not explicitly listed is considered out of scope and may require additional fees.

BILLING & PAYMENT

Recurring Services: Billed on a monthly cycle based on the Client’s service start date (e.g., if services begin on the 15th, billing will occur on the 15th of each month). The first invoice may be prorated.

One-Time Services: Billed as stated on the invoice or proposal and are not recurring.

Transaction Coordination Services: Billing information to be collected following contract signing. Client will not be charged until close of sale. In the event escrow does not close for a transaction, or escrow is formally cancelled in writing, no compensation is due by the Contracting Agent.

Payment Authorization: Client authorizes Brick by Brick Collective to automatically charge the payment method on file. Auto-billing may be required.

Late or Failed Payments: A 5% fee will be applied to both late payments and declined or failed payment methods. Failure to maintain valid payment information may result in service suspension or termination.

NO REFUNDS

All fees are non-refundable, including deposits, retainers, prepaid services, and recurring fees once billed.

CLIENT RESPONSIBILITIES

Client agrees to provide timely access to systems, tools, content, and approvals; maintain current and valid payment information; and respond promptly to requests or questions. Delays caused by clients do not relieve payment obligations.

COMMUNICATION & AVAILABILITY

Business Hours: Monday–Friday, 8am–5pm PST. Response Time: Within 24 business hours. Emergency or after-hours requests (excluding TC requests) may be billed at $150/hour.

COMMUNICATION & ABANDONMENT

Regular communication to your Brick by Brick partner(s) is essential to the success of this project. If the Client becomes unresponsive for more than 14 calendar days without prior written notice, the project will be considered "Abandoned." In the event of abandonment, all work will cease, the contract will be terminated, and all payments made to date will be forfeited to Brick by Brick as a cancellation fee.

CHANGES, PAUSES & TERMINATION

Scope Changes: All scope changes require written approval and may require a change order or additional invoice.

Service Pauses: One pause per calendar year, up to 30 days. All balances must be paid prior to pausing, work stops during the pause, and current rates apply upon restart (a pause does not lock in pricing). Resumption of services is subject to availability.

Termination: Either party may terminate services with three (3) days’ written notice, unless otherwise agreed in writing.

NO GUARANTEE OF RESULTS

All services are provided on a best-efforts basis. BBC makes no guarantees regarding outcomes, revenue, engagement, or performance.

CONFIDENTIALITY

Both parties agree to maintain confidentiality of all non-public business information exchanged.

INTELLECTUAL PROPERTY

BBC retains ownership of internal frameworks, SOPs, templates, systems, and processes. Client owns final deliverables created specifically for Client upon full payment. Drafts and working files are not included unless explicitly stated. BBC may reference non-confidential work for portfolio or marketing purposes unless Client opts out in writing.

THIRD-PARTY PLATFORMS

Client is responsible for all third-party tools, subscriptions, and access. BBC is not liable for platform outages, API or software changes, or account restrictions or errors.

INDEPENDENT CONTRACTOR

BBC operates as an independent contractor. Nothing herein creates an employment, partnership, or joint venture relationship.

LIMITATION OF LIABILITY

BBC’s total liability is limited to the amount paid by Client in the preceding three (3) months. BBC is not liable for indirect, incidental, or consequential damages.

FORCE MAJEURE

BBC is not liable for delays or failures caused by events beyond reasonable control, including illness, natural disasters, outages, or third-party service failures.

DISPUTE RESOLUTION

Parties agree to first attempt resolution via mediation in Oregon. If unresolved, disputes shall be governed by Oregon law with venue in Hood River County, Oregon.

MODIFICATIONS

BBC may update these Terms at any time. The version in effect at the time of invoicing governs the services rendered.

ENTIRE AGREEMENT

These Terms, together with any written scope documents or invoices, constitute the entire agreement.
